Terms of Service
These Terms of Service (the "Terms") govern your access to and use of SideKyk — the multi-tenant AI assistant accessible primarily through WhatsApp and operated by us (collectively, "SideKyk," "we," "us," or "our"). By creating an account, sending a message to a SideKyk number, or otherwise using the service, you agree to these Terms. If you do not agree, please do not use SideKyk.
1. Who we are and what we provide
SideKyk provides a multi-tenant AI assistant for small businesses, delivered through WhatsApp and other supported channels. Each customer gets a private workspace — a "team" of AI agents (we call them Sidekyks) that handle business tasks like replying to customers, scheduling, drafting marketing, chasing invoices, and coordinating between specialists. The service includes the underlying software, the AI models we route to on your behalf, the private workspace storage, and any related dashboards or admin tools (collectively, the "Service").
The Service is intended for use by businesses and the individuals who run them. It is not designed for, and we do not knowingly serve, end users acting in a purely personal capacity outside a business context.
2. Accounts and signup
To use the Service you need an account. You can create one by messaging SideKyk on WhatsApp and following the onboarding flow, or by signing up through the website. You agree to provide accurate information, keep your account credentials secure, and notify us promptly if you suspect unauthorized access.
You are responsible for everything that happens under your account. If you let teammates or contractors access your SideKyk workspace, their activity is treated as yours for the purposes of these Terms.
3. Your responsibilities
You agree to use SideKyk only for legitimate business purposes, and to comply with all laws that apply to your business and to your customers' data. In particular, you agree:
- Not to use SideKyk to send spam, unsolicited marketing, or any content that violates WhatsApp's or Meta's policies.
- Not to impersonate another person or business, and not to use the Service to defraud, harass, or harm anyone.
- Not to upload, store, or process data you do not have the right to handle — including personal data of your customers — and to maintain whatever consents your local law requires before sharing customer information with us.
- To use SideKyk only in compliance with export-control, sanctions, and data-protection laws applicable to you.
4. Acceptable use
You may not, and may not allow anyone else to:
- Scrape, mirror, or reverse-engineer the Service, the underlying models, or our infrastructure, except to the extent expressly permitted by applicable law.
- Probe, test, or attempt to bypass our security, rate limits, or tenant isolation.
- Use the Service to generate content that infringes someone else's rights, depicts child sexual abuse material, incites violence, promotes terrorism, or violates any other law.
- Resell, sublicense, or repackage the Service as a standalone offering without a separate written agreement with us.
- Use the Service to build a competing product, or to train a third party's foundation model.
We may suspend or remove content, and suspend or terminate accounts, that violate this section — with notice where practical, and immediately where required to protect users or comply with law.
5. Fees, credits, and billing
SideKyk uses a tiered subscription model with a per-vertical base fee and a usage-credit balance. Each plan tier includes a credit allowance sized to that vertical's typical workload; your team spends credits as it performs tasks (sending messages, calling models, running automations), and you can top up at any time. Subscription fees are billed in advance for each billing period and are non-refundable except where required by law. Usage credits are deducted in arrears as work is performed. We may adjust pricing on renewal with reasonable advance notice.
You are responsible for any taxes, duties, or similar charges imposed by your jurisdiction, except for taxes assessable against our net income.
6. The WhatsApp / Meta dependency
SideKyk operates on top of the WhatsApp Business Platform provided by Meta. WhatsApp and Meta are independent third parties; their terms, rate limits, message-template approvals, and quality scores apply to all messages you send through SideKyk, and we cannot override them. If WhatsApp suspends or rate-limits your business number, your SideKyk experience will be affected, and we may need to pause certain features until the WhatsApp side is resolved.
You agree to comply with the WhatsApp Business Messaging Policy and the Meta Platform Terms whenever you use SideKyk to send or receive messages on WhatsApp.
7. Intellectual property
Your data stays yours. You retain all rights to the data and content you submit to SideKyk — messages exchanged with your Sidekyks, customer records, files, and anything your agents produce on your behalf. You grant us a limited license to process that data solely to operate, secure, and support the Service for you.
Our brand and software stay ours. SideKyk, the Sidekyk characters, the SideKyk wordmark, our software, and our documentation are protected by intellectual-property laws. We grant you a non-exclusive, non-transferable, revocable right to use the Service while these Terms are in force; we reserve every right not expressly granted.
8. Agents you build
SideKyk lets you build custom Sidekyks tuned to your business — a payment chaser, a newsletter writer, a no-show follow-up agent, or any other helper you can describe. Those custom agents are yours. You own the configuration, the prompts, and the outputs they produce. If you leave SideKyk, you can export them (subject to reasonable technical limits) and we will not retain them beyond what is necessary for legal, billing, or operational purposes.
9. Disclaimer of warranties
The Service is provided "as is" and "as available." To the maximum extent permitted by law, we disclaim all warranties — express, implied, statutory, or otherwise — including warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation.
SideKyk uses AI models to generate text, decisions, and actions. These outputs can be inaccurate, incomplete, or out of date. You are responsible for reviewing your Sidekyks' outputs before relying on them, especially for legal, financial, medical, or safety- critical decisions.
10. Limitation of liability
To the maximum extent permitted by law, neither party will be liable to the other for any indirect, incidental, consequential, special, exemplary, or punitive damages — including lost profits, lost revenue, lost data, or business interruption — even if advised of the possibility of such damages.
Our total cumulative liability arising out of or relating to these Terms or the Service will not exceed the greater of (a) the amount you paid us for the Service in the twelve months preceding the event giving rise to the claim, or (b) one hundred US dollars (US$100).
11. Termination
You can stop using SideKyk at any time by canceling your subscription in your account settings. We can suspend or terminate your account if you materially breach these Terms, fail to pay fees, or use the Service in a way that puts other customers or our platform at risk. Where practical we will give you notice and a reasonable chance to fix the problem first.
On termination, your access to the Service ends; you have a 30-day export window during which you can request a copy of your data; after that, we delete or anonymize your data subject to the retention rules described in our Privacy Policy and Data Deletion pages.
12. Governing law
These Terms are governed by the laws of [State/Country to be confirmed], without regard to its conflict-of-laws rules. The exclusive venue for any dispute arising out of or relating to these Terms is [Court / arbitral forum to be confirmed]. This section will be finalized when legal review concludes.
13. Changes to these terms
We may update these Terms from time to time — for example, to reflect new features, legal requirements, or changes in our business. If we make a material change, we will give you reasonable advance notice through SideKyk, by email, or on this page, and update the "Effective date" at the top. Your continued use of the Service after the new Terms take effect means you accept them.
